Invitation to the Ordinary General Meeting
The Board of Directors of Oman International Development and Investment Company SAOG (“OMINVEST”) is pleased to invite the shareholders to attend an Ordinary General Meeting which will be held at the Grand Hyatt Hotel, Afrah 3 Ballroom – Muscat on Thursday, 19 November 2015 at 3:00 pm to consider the following agenda:
In light of the Merger of Oman National Investment Corporation Holding SAOG into OMINVEST as per the Merger Agreement and the General Assembly’s resolutions in its Extra Ordinary meeting held on May 31st, 2015; to remove existing Board and to elect a new Board of Directors comprised of 10 Directors for the Company from among the shareholders. Any shareholder who wishes to stand as a candidate for election must complete the prescribed form and submit it to the Company on or before Monday, 16 November 2015. Nomination forms submitted after this date will not be accepted. As per the Company’s Articles of Association, it is required that a candidate owns a minimum of 200,000 shares as on the date of OGM.
In accordance with the Company’s Articles of Association and amendments thereto, each shareholder is entitled to give a written proxy to another person to attend the meeting and vote on his/her behalf on the official proxy card attached. If the appointing shareholder is a natural person, he or she is required to attach with the proxy card a copy of Oman ID or passport (for Omani females and minors who do not have an Omani ID card) or residency card or passport (for expatriates). If the appointing shareholder is a juristic person, the proxy card must be signed by an authorized signatory and sealed with the company seal of the shareholder and copies of the commercial registration certificate and authorized signatory form.
Shareholders are kindly requested to arrive about half an hour before the scheduled meeting time.
